This Agreement ("Agreement") outlines the terms and conditions governing the use of video editing services provided by Adlib ("Company") to its clients ("Client"). The following terms are legally binding, and it is imperative for the Client to thoroughly review and comprehend these conditions before engaging with Adlib's services.
Service Description: 1.1 Adlib delivers a video editing service that empowers Clients to submit unlimited video editing requests, inclusive of unlimited revisions.1.2 The Company commits to adhering to industry best practices and standards to ensure the provision of high-quality video editing services.1.3 While reasonable efforts are undertaken to meet Client editing requirements, Adlib does not guarantee specific outcomes.
Client Responsibilities: 2.1 Clients are obligated to provide Adlib with requisite video footage for editing through secure and authorized means, acknowledging the Client's sole responsibility for uploaded content.2.2 The Client affirms possession of the necessary rights and permissions to share video footage with Adlib for editing purposes.2.3 Submission of illegal, defamatory, or objectionable content is strictly prohibited.
Revisions: 3.1 Clients are entitled to unlimited revisions per video editing request.3.2 Adlib commits to completing revisions within a reasonable timeframe.3.3 The Company reserves the right to apply additional charges for excessive or unreasonable revision requests.
Liability and Indemnification: 4.1 Clients recognize that Adlib functions as an editing service provider and expressly disclaims responsibility for the content of provided video footage.4.2 Clients agree to indemnify and hold Adlib, its officers, employees, and agents harmless from any claims, damages, losses, or liabilities arising from the content of video footage or third-party claims related to edited videos.4.3 Adlib provides no warranty regarding the accuracy, legality, or reliability of any information, materials, or content submitted by the Client.
Intellectual Property: 5.1 The Client retains all intellectual property rights to original video footage submitted for editing.5.2 Adlib is granted a non-exclusive, royalty-free license by the Client to use, reproduce, modify, and distribute edited videos solely for the purpose of providing video editing services.5.3 The Client affirms having the requisite rights and permissions to grant the license outlined in clause 5.2.
Confidentiality: 6.1 Adlib undertakes to treat all information and materials provided by the Client as confidential, maintaining non-disclosure to third parties without the Client's explicit consent, except as mandated by law.
Pricing: 7.1 Pricing details for Adlib Video Editing Service are explicitly presented at the time of initial subscription.7.2 The agreed-upon pricing remains applicable throughout the uninterrupted subscription period.7.3 Upon Client-initiated cancellation, existing pricing terms become void.7.4 Subsequent re-subscription requires adherence to the prevailing pricing structure at the time of re-engagement.
Termination: 8.1 Either party reserves the right to terminate this Agreement with written notice.8.2 Upon termination, the Client is liable for any outstanding payments related to services rendered before the termination date.
Governing Law and Jurisdiction: 9.1 This Agreement is governed by the laws of the jurisdiction in which Adlib operates.9.2 Any disputes arising from this Agreement are subject to the exclusive jurisdiction of the courts in the aforementioned jurisdiction.
Amendments: 10.1 Adlib retains the right to modify or amend these Terms and Conditions.10.2 Clients will receive notification of any changes through prominent notices on Adlib's website.10.3 Continued use of services post-notification constitutes acceptance of the modified Terms and Conditions.
By using Adlib's services, the Client acknowledges having read, understood, and agreed to the stipulations outlined in these Terms and Conditions. This Agreement serves to protect both parties and establish a transparent framework for engagement.
